2. Who and what do these terms cover?

The Provider accepts engagements only from business clients acting in the course of their commercial or professional activities. These terms do not apply to consumer contracts.

Services include system and process assessment, modernization planning, application security review, architecture consulting, targeted process automation and related development. The actual tasks and deliverables are always defined by the individual agreement.

3. Proposals and contract formation

The website provides information about services. Submitting the contact form is an enquiry, not an order, and does not by itself create a contract or payment obligation.

An engagement is established after discussing the task, through mutual acceptance of an individual proposal or conclusion of a separate contract. The parties record the terms in a retrievable form, such as email or a signed document. Details and terms may be corrected before the contract is concluded.

These terms become part of the contract only if the client had the opportunity to review them before concluding the contract and accepted them. The Provider makes the applicable version available with the proposal. Merely using the website does not constitute acceptance. Individually negotiated terms take precedence.

The website has no automated ordering or payment system. The individual agreement specifies the contract language, how the contract is documented and how the client can access their copy.

4. Scope of work and handover

Before work begins, the parties must define the objective, systems under review, scope, deliverables, deadlines and acceptance criteria. Operations, ongoing availability or follow-up are included only by separate agreement.

The professional work is carried out by Zsolt Barina. Where additional expertise is needed, the Provider involves a partner after prior agreement, subject to the necessary access and confidentiality conditions. Involving a partner does not remove the Provider's contractual responsibility.

The client provides information that may lawfully be shared for the task, the agreed access and a contact authorized to make decisions. Before reviewing or changing a production system, the parties clarify permissions, the environment concerned and responsibility for backups, restoration and verification.

If new requirements or significant changes arise, the parties agree adjustments to scope, fees and deadlines. Additional work requires prior acceptance of the relevant terms. At handover, the client may verify the results against the agreed criteria. The parties record feedback and any corrections.

5. Fees and payment

The individual proposal or contract specifies the fee, its calculation, applicable taxes, expenses, invoicing schedule and payment deadline. Advance payments, external service charges or other additional costs require prior agreement.

The website does not offer online payment. Invoices are paid as specified in the individual agreement. In the event of late payment, the contract and applicable law govern.

6. Professional responsibility and limitations

The Provider performs the agreed task with the professional care reasonably expected. Findings relate to the agreed review scope, available data and the time of review. Known limitations and uncertainties are communicated with the results.

An application security review is a technical evaluation. It is not certification or official confirmation of regulatory compliance, and does not establish the absence of all vulnerabilities.

For automation or AI trials, the parties define samples, evaluation methods and human review points in advance. They decide how to proceed based on the results. Production deployment, permissions and system supervision require separate agreement.

Liability for defective performance and damage is governed by the individual contract and the Hungarian Civil Code. These terms do not exclude liability that cannot legally be excluded.

7. Documentation and usage rights

The individual contract must govern the handover of documentation, source code and other results, rights of use and further development, and use of pre-existing solutions. Placing an order does not by itself transfer unlimited or exclusive rights.

Third-party and open-source components remain subject to their own licenses. The Provider identifies licensing and service conditions that materially affect use of the results.

8. Confidentiality and data protection

The parties may use non-public business and technical information learned during the engagement only as necessary for performance, and may not disclose it to unauthorized parties. Exceptions require the other party's permission or a legal obligation. Confidentiality continues after the engagement ends.

If the task involves processing personal data on the client's behalf, the parties define data protection roles and enter into the necessary processing agreement before access is granted. Client data may only be sent to external AI services with prior client approval and after clarifying data protection conditions.

A separate privacy notice explains the personal data processed through website contact and operation.

9. Changes and termination

The parties record contract amendments and termination in a retrievable form. The nature of the engagement, individual contract and applicable law govern termination conditions and consequences.

On completion, the parties must settle work already performed and lawfully incurred expenses, hand over completed results, revoke access and return or delete data. Statutory retention obligations remain in force.

10. Feedback and disputes

Feedback or complaints about performance may be sent to the Provider's email address or registered office. Include the client's name, the engagement, the issue identified and the action requested to help identify the matter.

The parties first seek to resolve disputes through direct discussion. If this is unsuccessful, disputes are subject to the court with jurisdiction under applicable law.

12. Applicable law and versions

Unless the parties lawfully agree otherwise, Hungarian law applies. Mandatory legal provisions cannot be overridden by an individual contract.

Publishing a new version of these terms on the website does not automatically amend existing contracts. The version reviewed and accepted at contract formation applies to the engagement unless the parties agree otherwise.

The following legislation is particularly relevant to the services:

  • Act V of 2013 - Hungarian Civil Code
  • Act CVIII of 2001 - Electronic commerce services
  • Regulation (EU) 2016/679 of the European Parliament and of the Council - GDPR
